NT 10-K (Notification of Late Filing)
An NT 10-K is a form a company files with the SEC when it can't meet the deadline to submit its annual 10-K report (the detailed yearly financial statement all public companies must file). Think of it as a "we need more time" notice. You'll see these pop up when companies hit unexpected delays—accounting issues, audits taking longer than expected, or other complications. It's not a red flag by itself, but it's worth noting because it means you won't get the full financial picture on schedule. For example, if TechCorp Inc. couldn't finish its audit by the deadline, it might file an NT 10-K to buy itself 15 extra days. The company still has to file eventually—this just extends the clock.
