Item 1.01 is a section in SEC filings (official documents companies submit to regulators) where they announce major business deals. When a company signs an important contract—like acquiring another business, entering a long-term partnership, or securing a major supplier agreement—they must disclose it here. This matters because these deals can significantly affect a company's future profits and direction, so investors need to know about them. For example, if TechCorp announced it was buying SoftwareCo for $500 million, that would show up in Item 1.01. Think of it as the company's way of saying, "Hey, we just made a big move—here are the details."
